Terms of Use


Welcome to SourceASEAN.com (the “Site”). This Site is the property of Source ASEAN. By using the Site, you are indicating your consent and agreement to these Terms of Use (“Terms”). If you do not agree, refrain from using or registering on the Site.


The Internet is an evolving medium and we may change these Terms from time to time. By continuing to use the Site after we post any such changes, you accept these Terms, as modified. The information on the Site is presented for the purpose of disseminating useful information to the Site’s visitors. Source ASEAN does not make any warranty or representation about the completeness, accuracy, or reliability of any material contained on he Site or on any links that are a part of the Site.


Source ASEAN recommends all visitors and users exercise their own independent analytical skills and then formulate a judgment on the information provided on the Site. The Site is not to be relied on as an independent alternative for professional advice. Users and visitors are advised to take appropriate professional advice as is relevant to their specific circumstances.


As long as you comply with these Terms, Source ASEAN approves and grants you a personal, non-exclusive, and non-transferable privilege to enter and use the Site, subject to these Terms.

All materials, including but not limited to text, information, data, graphics, user interfaces, visual interfaces, photographs, trademarks, and logos, (collectively “Content”), featured or posted on the Site is owned, controlled or licensed by or to Source ASEAN, and is protected by the relevant trade dress, copyright, patent and trademark laws, and various other intellectual property rights.


You are free to display and print for your personal, non-commercial use information you receive through the Site. But you may not otherwise reproduce any of the materials without the prior written consent of the owner. You may not distribute copies of materials found on the Site in any form (including by e-mail or other electronic means), without prior written permission from Source ASEAN. You may not make modifications, additional representations or warranties relating to any materials on the Site without prior written permission from Source ASEAN. Source ASEAN gives permission, at its sole discretion and in appropriate circumstances, to other businesses or their sites, to reproduce paragraphs, information, or any portion of content in full or in part, provided Source ASEAN is acknowledged as the owners of such content. Make sure you contact Source ASEAN for permission to use the aforementioned as well as other Source ASEAN trademarks, logos, slogans, screen shots, copyrighted designs and any other specific brand features. Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by implication or otherwise.


B. USER CONDUCT AND USER SUBMISSIONS


Source ASEAN wants to encourage an open exchange of information and ideas through the Site. But we cannot and do not review every posting made on forums, blogs, and other public posting areas. You can expect these areas to include content, information, and opinions from a variety of individuals and organizations other than Source ASEAN. We do not endorse or guarantee the accuracy of any posting, regardless of whether the posting comes from a user or from a member of our staff. There is no substitute for healthy skepticism and your own good judgment.


Responsibility for what is posted in the Site’s forums, blogs, and other public posting areas lies with each user -- you alone are responsible for the material you post. Source ASEAN does not control the messages, information or other content that you or others may provide through the Site. You may use the Site for lawful purposes only.


By using the Site, you agree not to submit, post or transmit through the Site any material or otherwise engage in any conduct that:



  • Violates or infringes the rights of others including, without limitation, patent, trademark, trade secret, copyright, publicity, privacy or other proprietary rights;

  • Allows you to gain unauthorized access to the Site, or any account, computer system, or network connected to the Site, by means such as hacking, password mining or other illicit means;

  • Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortuous, or contains explicit or graphic descriptions or accounts of, sexual acts;

  • Victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

  • Collects for marketing purposes any email addresses or other personal information that has been posted by other users of the Site;

  • Impersonates any person, business or entity, including Source ASEAN and its employees and agents or falsely state or otherwise misrepresent your affiliation with any person, business or entity, including Source ASEAN;

  • Contains an advertisement or solicitation or encourages others to make a donation, unless it is your user “Profile”, or a “Sell Now” listing posted by you;

  • Contains viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or otherwise permit the unauthorized use of a computer or computer network;

  • Encourages conduct that would constitute a criminal offense or that gives rise to civil liability or that otherwise encourages others to commit illegal activities or cause injury or property damage to any other person;

  • Results in the posting or transmission of any message anonymously or under a false name;

  • Permits any person to access, using your account, any features of the Site that may require registration;

  • Results in a single message being posted to more than five areas of the Site, results in any message being posted to any area of the Site if that message is, in our view, off-topic or in violation of these Terms; or

  • Violates these Terms, guidelines or any policy posted on the Site, or interferes with the use of the Site by others.


Although Source ASEAN cannot monitor all content on the Site, you understand that Source ASEAN shall have the right, but not the obligation, to monitor the content of the Site to determine compliance with these Terms and any other operating rules that may be established by Source ASEAN from time to time. Source ASEAN shall have the right, in its sole discretion, to edit, move, delete, or refuse to post any material submitted to or posted on the Site for any reason, including violation of these Terms, whether for legal or other reasons, or because the material is objectionable or stale. Notwithstanding this right of ours, users shall remain solely responsible for the content they submit. You acknowledge and agree that neither Source ASEAN nor any of its affiliates shall assume or have any liability for any action or inaction by Source ASEAN with respect to any conduct within the Site or any communication or posting on the Site. Source ASEAN also reserves the right to disclose any information that Source ASEAN believes necessary to satisfy any law, regulation or governmental request, or to refuse to post or to remove any information or materials, in whole or in part.


Source ASEAN requires you not to use the Site to violate anyone’s copyright, trademark or other intellectual property rights. By posting or submitting any material (including, without limitation, photographs and text) to the Site, you are warranting and representing that you own or have the right to post or make such submission of the material, or are making your submission or posting with the express consent of the owner or under the principles of fair use, and that no other party has any right, claim, or interest in the material that you have submitted or posted. You also warrant that all moral rights in any material that you submit to us or post have been waived. Submitting or posting material that is the property of another, without the consent of its owner, is not only a violation of these Terms, but may also subject you to legal liability for infringement of copyright, trademark or other intellectual property rights.


C. VIOLATION OF THESE TERMS OF USE


You agree that Source ASEAN may, in its sole discretion and without prior notice, terminate your access to the Site. This may be due to (but is not limited to):



  • Requests by law enforcement or other government agencies.

  • A request by you.

  • Discontinuance or material modification of the Site or its Content.

  • Unexpected technical issues or problems.


Source ASEAN may also disclose your personal information when such disclosure is necessary in connection with any investigation, legal enquiry, or complaint arises pertaining to your use of the Site and its content. You agree that Source ASEAN may:



  • Disclose any necessary personal information that Source ASEAN deems necessary to comply with any applicable regulation, law, legal process or governmental request. Further, Source ASEAN may disclose your information when the applicable law or legal process requires or permits such disclosure.

  • Preserve any communication or information posted or emailed by you to Source ASEAN through the Site and may disclose such data if it is legally required, or if it is reasonably necessary to protect the rights, personal safety and property of the Site and the public.

  • Terminate your access to the Site and/or block your future access to the Site for any reason if we determine that you have violated these Terms.

  • Purse any legal action or equitable relief that Source ASEAN deems necessary or appropriate. Such remedies are in addition to any other remedies that Source ASEAN may have at law or in equity.


D. LICENSE GRANT


All materials you submit to the Site, including but not limited to submissions to our forums, blogs and other public posting areas become the property of Source ASEAN and may be reproduced, modified and distributed as we see fit, in any medium, for any purpose and in perpetuity. Further, you understand that by posting material on the Site, you are granting to Source ASEAN, and to anyone authorized by Source ASEAN, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to display, use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform such materials posted on the Site, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. The foregoing grant shall include the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction. Also, in connection with the exercise of such rights, you grant Source ASEAN, and anyone authorized by Source ASEAN, the right to identify you as the author of any of your postings or submissions by name, email address or screen name, as Source ASEAN deems appropriate.


E. PROCEDURE FOR REPORTING AN ALLEGED INTELLECTUAL PROPERTY INFRINGEMENT TO SOURCE ASEAN


If you believe that Source ASEAN, or another party submitting material to the Site, has infringed your trademark, copyright, patent or any other intellectual property rights, we encourage you to bring it to our attention with specific details about the alleged infringement. Source ASEAN will promptly evaluate your complaint and take appropriate action or contact you directly for further information. Source ASEAN recommends that users and visitors exercise caution and prudence in taking this course of action or in raising vague, inaccurate, misleading or frivolous disputes about the alleged infringement of intellectual property rights.


To file a notice of infringement with Source ASEAN, send us a soft copy of written notification (MS Word file or PDF file or letter scanned as a JPG or GIF) attached to an email to admin@sourceasean.com.


The written notification of infringement must include the following:



  • A signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

  • Identification of the material claimed to have been infringed, or if multiple works at the Site are covered by a single notification, a representative list of such works at the Site.

  • Identification of the material claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.

  • Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number and, if available, an electronic mail address at which the complaining party may be contacted.

  • A statement that “I have a good faith belief that use of the materials described above is not authorized by the owner, its agent, or the law. I swear, under penalty of perjury, that whatever information is provided by me in this notification is true and accurate to the best of my knowledge and that I am the sole intellectual property owner or the only one who is authorized to report on behalf of the owner of this exclusive right that has been allegedly infringed.”

  • Without all of the above information, Source ASEAN will not accept that your infringement notification is made in good faith.


Upon receipt and acceptance of your written notification, Source ASEAN will supply you with a physical address to which you should send a hard copy.


You may be held liable for damages (including costs and attorneys’ fees) if you deliberately or materially misrepresent that information or any activity or function of Source ASEAN (or another party) infringed your rights. Accordingly, if you are uncertain about intellectual property claims and legal notification, we recommend that you contact an attorney.


F. DISCLAIMER OF WARRANTIES AND LIABILITY


We work hard to make the Site interesting and enjoyable, but we cannot guarantee that our users will always find everything to their liking. Please read this Disclaimer carefully before using the Site.


YOU AGREE THAT YOUR USE OF THE SOURCE ASEAN SITE IS AT YOUR SOLE RISK. BECAUSE OF THE NUMBER OF POSSIBLE SOURCES OF INFORMATION AVAILABLE THROUGH THE SOURCE ASEAN SITE, AND THE INHERENT HAZARDS AND UNCERTAINTIES OF ELECTRONIC DISTRIBUTION, THERE MAY BE DELAYS, OMISSIONS, INACCURACIES OR OTHER PROBLEMS WITH SUCH INFORMATION. THE SOURCE ASEAN SITE, SOURCE ASEAN, AND ITS AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION AVAILABLE THROUGH THE SOURCE ASEAN SITE, NOR DO THEY GUARANTEE THAT THE SOURCE ASEAN SITE WILL BE ERROR-FREE OR CONTINUOUSLY AVAILABLE, OR THAT THE SOURCE ASEAN SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU AGREE THAT THE LIABILITY OF THE SOURCE ASEAN SITE, SOURCE ASEAN AND ITS AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM IN ANY WAY CONNECTED TO THE SOURCE ASEAN SITE WILL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID TO SOURCE ASEAN FOR THE USE OF THE SOURCE ASEAN SITE.


G. REGISTRATION AND PASSWORDS


To obtain access to certain services on the Site, you may be given an opportunity to register with the Site. As part of any such registration process, you will select a user name and a password. You agree that the information you supply during that registration process will be accurate and complete. Source ASEAN reserves the right to reject or terminate any user name or password that, in its judgment, it deems offensive. You will be responsible for preserving the confidentiality of your password and will notify Source ASEAN of any known or suspected unauthorized use of your account. Further, you agree that you are responsible for all statements made and acts or omissions that occur on your account while your password is being used. If you believe someone has used your password or account without your authorization, you must notify Source ASEAN immediately. Source ASEAN reserves the right to access and disclose any information including, without limitation, user names of accounts and other information to comply with applicable laws and lawful government requests.


H. PRIVACY

I. TRADEMARKS


The names, trademarks, service marks, and logos of Source ASEAN belong exclusively to Source ASEAN and are protected from reproduction, imitation, dilution or confusing or misleading uses under national and international trademark and copyright laws. All other trademarks, services marks, and logos (including third-party product names) are the property of their respective owners. You agree to indemnify, defend and hold harmless Source ASEAN, its affiliates, and their officers, directors, employees, agents, licensors and suppliers, from and against any and all losses, expenses, damages and costs (including reasonable attorneys’ fees) resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Site using your account.


K. LINKS TO THIRD-PARTY SERVICES


From time to time this Site may offer you links to other web sites on the Internet. These sites are not under the control of Source ASEAN, and Source ASEAN is not responsible for the accuracy, legality, or any other aspect of these third party web sites. The inclusion of such links on the Site is not an endorsement by Source ASEAN in favor of the web site, or the products or services offered on such site.


L. SEVERABILITY


In the event that any portion of these Terms is found to be invalid or unenforceable for any reason, such invalidity or unenforceability shall not affect the enforceability or validity of any other portion of these Terms, which shall remain in full force and effect and be construed as if the invalid or unenforceable portion were not part of the Terms.


M. CHANGES TO TERMS OF USE


Source ASEAN reserves the right to modify these Terms as necessary. We will indicate the most current date of any change and encourage you to consult these Terms from time to time. Continued use of the Site indicates you accept such changes. Source ASEAN reserves the right to discontinue or add web site functionality.


N. ENTIRE AGREEMENT


You agree that these Terms form the entire agreement between you and Source ASEAN with regard to your visits or use of the Site, and that any previously existing communication and understanding between you and Source ASEAN in respect of such use is hereby superseded and cancelled. Source ASEAN will not accept or acknowledge any counter-offers to these Terms.
